Welcome to Zicy! These Terms and Conditions (“Terms”) govern your access to and use of the zicy.com website (the “Site”) and the AI-powered growth consultant services, tools, and software provided by Zicy (“we,” “us,” or “our”).

By accessing the Site, joining our waitlist, or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services.

1. The Service

Zicy provides a subscription-based AI Co-Pilot for digital growth (the “Service”). Our Service is designed to act as your personal AI consultant, offering features such as:

• Full visibility website audits prioritized by revenue impact.

• Clear, plain-language recommendations and action items.

• One-click tools for schema, content outlines, links, and answers.

• Transparent reporting on performance and changes.

The Service is intended to help users improve their presence on search engines and AI answer engines (“AEO/GEO”). You acknowledge that Zicy is a “Do-It-Yourself” co-pilot tool. While we provide data, insights, and tools, you are responsible for implementing the recommendations.

2. Eligibility and User Accounts

• Eligibility: You must be at least 18 years of age to use the Service.

• Waitlist: Joining our waitlist requires you to provide a valid email address. This action indicates your interest in the Service but does not create an obligation for either party.

• Account Registration: To access the full Service, you must register for an account and provide accurate, complete information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Subscriptions and Payment

• Subscription Plans: The Service is offered on a subscription basis. You will be billed in advance on a recurring, periodic basis (“Billing Cycle”), typically monthly or annually.

• Automatic Renewal: At the end of each Billing Cycle, your subscription will automatically renew under the same conditions unless you cancel it or we cancel it. You may cancel your subscription renewal through your account settings page.

• Payment: A valid payment method is required to process the payment for your subscription. By submitting such payment information, you automatically authorize us to charge all subscription fees incurred through your account to any such payment instruments.

• Fee Changes: Zicy, in its sole discretion and at any time, may modify the subscription fees. Any subscription fee change will become effective at the end of the then-current Billing Cycle. We will provide you with reasonable prior notice of any change in subscription fees to give you an opportunity to terminate your subscription before such change becomes effective.

• Refunds: Subscription fees are non-refundable except as required by law or as explicitly stated in our refund policy at the time of purchase.

4. Acceptable Use

By using the Service, you agree not to:

• Use the Service for any illegal or unauthorized purpose.

• Reverse engineer, decompile, or otherwise attempt to discover the source code or underlying AI models of the Service.

• Resell, sublicense, or otherwise make the Service available to any third party without our express written consent.

• Use any automated system, including “bots” or “spiders,” to access the Service in a manner that sends more request messages to our servers than a human can reasonably produce in the same period.

• Upload or transmit any data that contains viruses, Trojan horses, or any other malicious code.

5. Intellectual Property

• Our Intellectual Property: The Service, the Site, and its original content (excluding data provided by you), features, functionality, and the underlying AI technology are and will remain the exclusive property of Zicy and its licensors. Our trademarks may not be used in connection with any product or service without our prior written consent.

• Your Data: You retain all ownership rights to the data you provide to the Service (e.g., your website URL, content, connected Google Search Console data). You grant us a worldwide, non-exclusive, royalty-free license to use, process, and transmit this data solely for the purpose of providing and improving the Service for you.

• Generated Content: You own the output and recommendations you generate using the Service (e.g., an article outline, a schema markup). However, you are responsible for ensuring this content is accurate and compliant with any applicable laws or platform policies before implementation.

6. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. ZICY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SERVICE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

NO GUARANTEE OF RESULTS: We are committed to helping you grow. However, you understand and agree that Zicy does not guarantee any specific results, such as search engine rankings, website traffic, AI engine citations, or increases in revenue. Search engine algorithms are complex and constantly changing, and your success depends on many factors beyond our control, including your industry, competition, and the quality of your implementation.

AI-GENERATED CONTENT: The outputs and recommendations from our AI are based on data and algorithms. While we strive for accuracy, AI may produce inaccurate or incomplete information. You are responsible for reviewing and validating all outputs before use.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZICY, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THE USE OF THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach the Terms.

You may terminate your account at any time by cancelling your subscription through your account settings. Upon termination, your right to use the Service will immediately cease.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
